Who we are

Semlith Cloud and this website are provided by Aakash Pawar, an individual in India, trading as semlith ("semlith", "we", "us"). These terms are an agreement between you and us for the use of Semlith Cloud. If you use it for an organisation, you accept them on its behalf and confirm you may do so.

Dodo Payments is the merchant of record

Paid plans are sold through Dodo Payments, which acts as our merchant of record and reseller. Dodo handles the order, takes the payment, charges the sales tax, VAT or GST that applies to you, and issues your invoice, under its own buyer terms, which you accept at checkout. We never see or store your card details.

What Semlith Cloud is

Semlith Cloud indexes the repositories you connect and answers questions about them for your AI tools over MCP, with an impact check on pull requests and a hosted portal. What each plan includes, what it holds and what it costs is set out on the pricing page, which forms part of these terms.

The open-source binary

The semlith binary is free, open-source software licensed separately under the Apache License 2.0. That licence, not these terms, governs its use. Nothing here limits what the licence gives you.

Accounts

• You sign in with GitHub, or with your organisation's single sign-on on Team. A free personal workspace needs a GitHub account at least 30 days old, and each GitHub account has one.
• Keep your sign-in and your tokens safe. You are responsible for what happens under your account and your organisation's tokens.
• You must be at least 18, or the age of majority where you live, to create an account.

Acceptable use

• Personal is for public repositories. Pro is for one person and is not shared.
• Org tokens are for machine identities (CI, routines, agents). They are not shared between people; each person on a team has their own seat.
• Connect only repositories you have the right to index.
• Do not try to reach another organisation's data, break or overload the service, get around its limits, or use it for anything unlawful.

Your content

Your code and documents stay yours. You let us store and process them only to run the service for you: to index them, answer your queries and show you your ledger. We do not sell your content or use it to train any model.

Subscriptions and renewal

A paid plan is billed monthly or yearly in advance and renews automatically at the end of each period until it is cancelled. The price you buy at is locked for twelve months. We announce any later price change by mail at least 30 days before it applies to your renewal. Team is billed per seat, with a minimum of five seats.

Team comes with a 14-day trial with no card. At the end of the trial you choose a paid plan, or the workspace returns to Personal's limits.

If a payment fails, the service continues for 14 days while it is retried; after that the plan lapses.

Cancellation

You can cancel anytime, from the billing page in Semlith Cloud or by mailing billing@semlith.com. Cancelling stops the next renewal; you keep your plan until the end of the period you have paid for. After that the workspace returns to Personal's limits: private repositories stop indexing, and their store is kept for 30 days and then deleted.

Refunds

Payments are not refunded, including for part of a period. Duplicate or mistaken charges are corrected, and any refund right the law of your country gives you still applies. The full refund policy forms part of these terms.

Changes to the service, and suspension

We improve Semlith Cloud continually and may change or remove features. If a change takes away something a paid plan includes, we tell you by mail before it happens. We may suspend or end an account that breaks these terms, does not pay, or puts the service or other customers at risk; where we can, we warn you first and give you time to download your store.

No warranty

Semlith Cloud is provided as is. We work to keep it available and correct, but we do not promise it will be uninterrupted or free of errors, unless a signed Enterprise contract says otherwise.

Liability

To the extent the law allows, our total liability for any claim about Semlith Cloud is limited to the fees you paid for it in the twelve months before the claim, and we are not liable for indirect or consequential loss, such as lost profits or lost data. Nothing in these terms limits liability that cannot be limited by law.

Governing law

These terms are governed by the laws of India, and the courts of India have jurisdiction over any dispute about them. This does not take away any protection the consumer law of your own country gives you.

Changes to these terms

We publish any change on this page with a new date. If a change matters to you, for example to price, cancellation or refunds, we mail it to your account's address at least 30 days before it takes effect. Using Semlith Cloud after that date means you accept the new terms; if you do not, cancel before then.
